Quarterly and annual economic notices before the National Registry of Foreign Investments.

Mexican companies with foreign investment in their social capital stock are required in accordance to Foreign Investment Law to file certain notices in certain applicable cases, either on an annual or quarterly basis with the National Registry of Foreign Investments (Registro Nacional de Inversiones Extranjeras RNIE in Spanish).


Quarterly notices

Quarterly notices are filed when there are modifications in any of the following items:

 
  • Modifications to the name or corporate name, tax domicile, or, economic activity.

  • Modifications to the capital stock and/or shareholding structure that imply a change in the participation in the capital stock of foreign individuals or legal entities for an higher amount, in absolute value of:  $20'000,000.00 twenty million pesos.
 
  • Variations in any of the following accounts, higher amount of the established of $20'000,000.00 twenty million pesos:
 
  • Accounts receivable from residents abroad that are part of the same corporate group.
 
  • Accounts payable to residents abroad that are part of the same corporate group.
 
  • Contributions for future capital stock increases, capital reserves or results of prior years.



Deadline for filing Quarterly Notices:


They must be filed within 10 business days by following the close of each quarter. Otherwise, failure to file in due time and form would imply fines.


In the latter case, a penalty calculation report would have to be prepared in order to calculate the corresponding fine.

Annual notices

This notice is filed when any of the following accounts is greater than one hundred ten million pesos ($110'000,000.00):
Beginning Total Assets, Ending Total Assets, Beginning Total Liabilities, Ending Total Liabilities, Domestic and Foreign Income or Domestic and Foreign Costs and Expenses.

Deadline for filing Annual Notices:


According to the following calendar, in accordance with the first letter of the name, denomination or corporate name:

From "A" to "J", during April; and,

From "K" to "Z", during May.

If the name, denomination, or corporate name begins with a number or any other character, it must be filed during May.

As in the previous notices, in case of failure to file in due time and form, it would apply fines that have to be calculated.
